    Terms and Conditions

    1. Acceptance of Terms

    By creating an account on, accessing, or otherwise using GeoNexo AI ("GeoNexo," "we," "us," or "our") — including our website at geonexo.ai, dashboard, APIs, and related services (collectively, the "Service") — you ("User," "you," or "your") agree to be bound by these Terms and Conditions ("Terms"). If you do not agree, you must not access or use the Service. We reserve the right to update these Terms at any time. Continued use after changes are posted constitutes acceptance of the revised Terms.

    2. Description of Service

    GeoNexo AI is an AI Search Visibility platform. We analyze how large language models (LLMs) — including but not limited to ChatGPT, Google Gemini, Google AI Overviews, Microsoft Copilot, Perplexity, DeepSeek, and Grok — cite, mention, and perceive web content. We provide businesses with actionable data, AI-created content recommendations, competitor and citation tracking, and publishing integrations to improve their presence in AI-created answers. The Service also includes an AI chat assistant, visibility reports and briefs (including by email and, where enabled, WhatsApp), a content studio and publishing calendar with approvals and scheduling, AI image generation, a brand knowledge base, multi-project and agency workspaces, and a read-only API.

    3. Eligibility & Account Registration

    • You must be at least 18 years old to use the Service.
    • You must provide accurate and complete information when creating an account, including a valid email address.
    • You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.
    • You may authenticate via email/password, Google, or Apple. By using Google or Apple sign-in, you authorize us to receive your basic profile information (name, email, and where provided, profile picture) from that provider.
    • You may create multiple projects (workspaces) subject to your plan. If you invite colleagues or manage client workspaces, you are responsible for their use of the Service.
    • You may not create multiple accounts to circumvent usage limits, abuse trials or referral programs, or engage in fraudulent activity.
    • We reserve the right to suspend or terminate accounts that violate these Terms or are flagged for abuse.

    4. Plans, Trials & Payments

    • The Service is sold as a subscription, priced per project (workspace). Each project you add is billed as an additional quantity on your subscription.
    • New customers may be offered a free trial (currently 7 days) at sign-up. Unless you cancel before the trial ends, your subscription starts automatically and the plan price is charged to your payment method.
    • Subscriptions are available on monthly, quarterly, semi-annual, and annual billing intervals. Fees are billed in advance for the selected interval and renew automatically until cancelled.
    • Payments are processed by Stripe. We store your Stripe customer and subscription identifiers but never store full card details on our servers.
    • You may cancel at any time in Account settings or via the Stripe customer portal. Cancellation takes effect at the end of the current billing period; access continues until then and prior periods are not pro-rated or refunded except where required by applicable law.
    • Fair-use limits apply to AI-intensive features (scans, content and image generation, API calls). We may throttle or pause automated generation for accounts that materially exceed normal usage for their plan.
    • Agency and multi-project customers may manage client workspaces under one subscription. You are responsible for your clients' use of the Service and for having the authority to act on their behalf.
    • We may change pricing, plan features, and usage limits. Material changes are communicated by email or in-app notice and take effect at your next renewal.
    • Taxes (including VAT/sales tax) may be added where applicable and are calculated by Stripe based on your billing location.

    5. Acceptable Use

    • You may use the Service only for lawful purposes and in accordance with these Terms.
    • You may not use the Service to: (a) violate any law, regulation, or third-party right; (b) transmit malicious code, spam, or harmful content; (c) attempt to reverse-engineer, decompile, or disassemble any part of the Service; (d) scrape, crawl, or extract data from the Service except through provided APIs; (e) impersonate any person or entity; (f) interfere with or disrupt the Service or its infrastructure.
    • You may only add domains, brands, and social accounts that you own or are authorized to represent. We may reject or remove projects for domains you cannot demonstrate authority over.
    • You retain ownership of the content you submit (e.g., website URLs, business information, uploaded brand assets, product photos, and images of people). By submitting content, you grant GeoNexo a non-exclusive, worldwide, royalty-free license to use, process, adapt, and display such content for the purpose of providing the Service, including generating derivative images and posts on your behalf.
    • For any photograph of an identifiable person you upload, you confirm you have that person's permission for it to be used and edited by AI tools in content produced for your brand.
    • Content generated by the Service (blog posts, social media posts, FAQ content, schema markup, images) is provided to you for your use. You are solely responsible for reviewing, editing, approving, and publishing any generated content.

    6. API Access

    • We may provide read-only API access secured by API keys issued in your account. You are responsible for keeping keys secret and for all activity performed with them.
    • API keys may be rate-limited, rotated, or revoked to protect the Service. Do not share keys, embed them in client-side code, or resell raw API access without our written agreement.
    • API responses are provided under the same accuracy disclaimers as the rest of the Service.

    7. Third-Party Integrations & Automated Publishing

    The Service integrates with third-party platforms including but not limited to: Google (Analytics, Search Console, Business Profile), LinkedIn, X (Twitter), Facebook, Instagram, WordPress, Webflow, Ghost, WhatsApp, and Stripe. When you connect a third-party account:

    • You authorize GeoNexo to access and interact with that platform on your behalf within the scope of permissions you grant.
    • OAuth connections are managed through Nango, a third-party OAuth provider. GeoNexo does not store your third-party passwords.
    • If you enable scheduling, approvals-based automation, or multi-platform publishing, you authorize GeoNexo to publish approved content to your connected accounts at the scheduled times without a further confirmation step for each post. You can pause, reschedule, or delete scheduled content at any time before it publishes.
    • We are not responsible for the availability, accuracy, or policies of third-party platforms. Changes to third-party APIs or terms may affect Service functionality.
    • You may disconnect integrations at any time through the Integrations settings page.
    • You are responsible for ensuring published content complies with the relevant platform's terms of service, advertising rules, and any regulated-industry requirements that apply to your business.

    8. Data Accuracy & AI Limitations

    • AI model responses are inherently dynamic, non-deterministic, and subject to change without notice. Visibility scores, sentiment analysis, citation tracking, and other metrics represent point-in-time snapshots and should be treated as directional guidance, not absolute measurements.
    • GeoNexo does not guarantee any specific outcome, ranking improvement, citation, mention, or business result from using the Service.
    • AI-generated content (blog posts, FAQs, social posts, schema markup, images) is produced algorithmically and may contain errors, inaccuracies, or content that requires human review before publication. AI-generated images are illustrative and may not accurately depict real people, products, premises, or results.
    • We do not control or influence how third-party AI models respond to queries. Changes in AI model behavior, training data, or policies may affect your visibility metrics at any time.
    • Competitor data and analytics are based on AI model outputs and public sources, and may not reflect actual market conditions.

    9. Intellectual Property

    • The Service, including its software, design, branding, documentation, and proprietary algorithms, is owned by GeoNexo and protected by intellectual property laws.
    • You are granted a limited, non-exclusive, non-transferable, revocable license to use the Service for its intended purpose during your active subscription or account.
    • You may not copy, modify, distribute, sell, or lease any part of the Service, nor may you reverse-engineer or attempt to extract the source code.
    • The GeoNexo name, logo, and related marks are trademarks of GeoNexo. You may not use them without prior written permission, except that agency and white-label customers may present GeoNexo-produced deliverables to their clients as permitted by their plan.
    • We may use anonymized and aggregated data derived from use of the Service (for example, benchmarks across industries) to operate and improve the Service. Such data will not identify you or your clients.

    10. Customer Identification & Publicity

    We are proud of the businesses that use GeoNexo, and like most B2B software companies we reference our customers publicly.

    • By creating an account and becoming a customer, you grant GeoNexo a non-exclusive, worldwide, royalty-free license to use your business name, logo, brand marks, and website URL to identify you as a GeoNexo customer. This includes our website, landing pages, customer logo walls, sales materials, decks, social media, and investor and press materials.
    • Any use will be factual and limited to identifying you as a customer. Your logo will be displayed in its correct form and will not be altered beyond resizing or the colour treatments needed to fit a layout.
    • This license does not permit us to publish a quote, testimonial, case study, results data, or an endorsement about you without your separate written approval, and it does not imply that you endorse or recommend GeoNexo.
    • You confirm you have the authority to grant this license for the brands and client accounts you add to the Service.
    • You may opt out at any time by emailing support@geonexo.ai. We will stop using your name and logo in new materials and will remove them from materials we control (such as our website) within thirty (30) days. Materials already printed, distributed, or cached by third parties may take longer to update.
    • This license ends when you opt out or, in respect of new materials, when your account is closed. Neither party owes the other any fee for this use.

    11. Disclaimer of Warranties

    THE SERVICE IS PROVIDED ON AN "AS IS" AND "AS AVAILABLE" BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, ACCURACY, AND NON-INFRINGEMENT. GEONEXO DOES NOT WARRANT THAT THE SERVICE WILL BE UNINTERRUPTED, ERROR-FREE, SECURE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS. YOU USE THE SERVICE AT YOUR OWN RISK.

    12. Limitation of Liability

    TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, IN NO EVENT SHALL GEONEXO, ITS OFFICERS, DIRECTORS, EMPLOYEES, AGENTS, AFFILIATES, OR LICENSORS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING BUT NOT LIMITED TO LOSS OF PROFITS, DATA, BUSINESS OPPORTUNITIES, GOODWILL, OR OTHER INTANGIBLE LOSSES, ARISING OUT OF OR IN CONNECTION WITH: (A) YOUR USE OF OR INABILITY TO USE THE SERVICE; (B) ANY UNAUTHORIZED ACCESS TO OR ALTERATION OF YOUR DATA OR TRANSMISSIONS; (C) ANY THIRD-PARTY CONDUCT ON THE SERVICE; (D) ANY CONTENT OR DATA OBTAINED FROM THE SERVICE; (E) DATA BREACHES, SECURITY INCIDENTS, OR SYSTEM FAILURES; OR (F) ANY OTHER MATTER RELATING TO THE SERVICE, WHETHER BASED ON WARRANTY, CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR ANY OTHER LEGAL THEORY, EVEN IF GEONEXO HAS BEEN ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. OUR TOTAL AGGREGATE LIABILITY FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICE SHALL NOT EXCEED THE GREATER OF (I) THE AMOUNTS YOU HAVE PAID TO GEONEXO IN THE TWELVE (12) MONTHS PRECEDING THE CLAIM, OR (II) ONE HUNDRED U.S. DOLLARS ($100).

    13. Indemnification

    You agree to indemnify, defend, and hold harmless GeoNexo, its officers, directors, employees, agents, and affiliates from and against any and all claims, damages, losses, liabilities, costs, and expenses (including reasonable attorneys' fees) arising out of or relating to: (a) your use of the Service; (b) your violation of these Terms; (c) your violation of any third-party right, including intellectual property, privacy, or publicity rights; (d) any content you submit through the Service; or (e) content you publish through third-party integrations.

    14. Termination & Account Deletion

    • You may delete your account at any time through your Account settings. Account deletion is permanent and will result in the irreversible removal of your profile, projects, scan data, generated content, credit balance, and all associated information.
    • Upon account deletion, we will make commercially reasonable efforts to delete your personal data, except where retention is required by law or for legitimate business purposes (e.g., fraud prevention, financial records).
    • We may suspend or terminate your account immediately, without prior notice, if we reasonably believe you have violated these Terms, engaged in fraudulent activity, or pose a risk to the Service or other users.
    • Active subscriptions will not be refunded upon termination for cause.

    15. Governing Law & Dispute Resolution

    These Terms shall be governed by and construed in accordance with the laws of the State of New York, United States, without regard to its conflict of law provisions. Any dispute arising out of or relating to these Terms or the Service shall be resolved exclusively in the state or federal courts located in New York County, New York. You irrevocably consent to the jurisdiction of such courts. EACH PARTY WAIVES ITS RIGHT TO A JURY TRIAL IN ANY ACTION ARISING OUT OF OR RELATING TO THESE TERMS.

    16. Force Majeure

    GeoNexo shall not be liable for any failure or delay in performing its obligations under these Terms due to causes beyond its reasonable control, including but not limited to natural disasters, war, terrorism, pandemic, government action, power failure, internet disruption, third-party service outages (including AI model providers, cloud hosting, payment processors), cyberattacks, or other force majeure events.

    17. Severability & Waiver

    If any provision of these Terms is found to be invalid or unenforceable by a court of competent jurisdiction, the remaining provisions shall remain in full force and effect. The failure of GeoNexo to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.

    18. Entire Agreement

    These Terms, together with the Privacy Policy and any other agreements expressly incorporated by reference, constitute the entire agreement between you and GeoNexo regarding the Service and supersede all prior agreements, understandings, and representations.
